These Terms of Service govern your access to and use of the Waka website and services provided by PT. Wakastudio Digital Media. By accessing our website, requesting our services, or entering into an agreement with us, you agree to be bound by these terms. If you do not agree, please do not use our website or services.

1. Services

Waka provides software development, design, consulting, and related technology services. Specific deliverables, timelines, and fees will be outlined in a separate statement of work, proposal, or service agreement agreed upon by both parties.

2. Intellectual Property

Upon full payment and unless otherwise agreed in writing, ownership of custom deliverables created specifically for you will be transferred to you. Waka retains ownership of pre-existing materials, general methodologies, tools, frameworks, and reusable code developed prior to or independently of your project.

We reserve the right to display completed work in our portfolio, case studies, and marketing materials unless a separate non-disclosure or confidentiality agreement prohibits such disclosure.

3. User Responsibilities

You agree to provide accurate, complete, and timely information necessary for us to perform our services. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

You may not use our website or services for any unlawful purpose, to infringe on intellectual property rights, to distribute malicious software, or to engage in any activity that could harm our systems or reputation.

4. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of a project, except as required by law or with prior written consent. This obligation survives termination of our working relationship.

5. Payment Terms

Fees, payment schedules, and invoicing terms will be specified in your project agreement or proposal. Unless otherwise stated, invoices are due within 14 days of issuance. Late payments may result in project delays, suspension of services, or interest charges at the maximum rate permitted by law.

6. Limitation of Liability

To the fullest extent permitted by law, Waka and its team members shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services or website, even if advised of the possibility of such damages.

Our total liability for any claims arising from a project shall not exceed the total amount paid by you for the services giving rise to the claim.

7. Indemnification

You agree to indemnify and hold harmless PT. Wakastudio Digital Media, its directors, employees, and contractors from any claims, damages, liabilities, costs, or expenses arising from your use of our services, your content, or your violation of these terms.

8. Termination

Either party may terminate a project or service agreement in accordance with the termination provisions set out in the applicable project agreement. Upon termination, you remain responsible for payment for all work completed and expenses incurred up to the termination date.

We reserve the right to suspend or terminate access to our website or services immediately, without prior notice, for conduct that violates these terms or is otherwise harmful to us or third parties.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict of law principles. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in Bandung, Indonesia.

10. Changes to These Terms

We may revise these Terms of Service at any time by updating this page. The revised terms will take effect when posted. Continued use of our website or services after changes constitutes acceptance of the updated terms.
